The position is responsible for providing executive leadership over the organization’s legal, regulatory, governance, compliance, labor relations, risk management, and corporate transaction activities. As a strategic business partner to the Chairman, President, CEO, and Board of Directors, the role safeguards the company’s legal interests while enabling growth through corporate restructuring, mergers and acquisitions, investments, financing activities, and other strategic initiatives. The position ensures that business decisions are legally sound, commercially viable, and aligned with regulatory requirements, while providing guidance on high-impact and complex legal matters affecting the organization.

KEY RESPONSIBILITIES 
You will: 

  • Serve as the principal legal advisor to the Chairman, President, CEO, Board of Directors, and Executive Leadership Team.
  • Develop and implement the organization's legal strategy in support of corporate objectives, governance standards, and long-term growth plans.
  • Lead and manage all legal, compliance, governance, regulatory, and risk management functions across the organization.
  • Provide strategic legal guidance on corporate restructuring, spin-offs, mergers, acquisitions, joint ventures, divestitures, and other transformational transactions.
  • Oversee the complete M&A lifecycle, including due diligence, transaction structuring, negotiations, documentation, regulatory approvals, and post-merger integration activities.
  • Advise senior management on legal risks arising from business expansion, operational changes, investments, and commercial transactions.
  • Ensure compliance with corporate governance requirements and applicable laws and regulations.
  • Provide legal oversight on financing arrangements, capital raising activities, debt restructuring, project financing, and investment transactions.
  • Lead negotiations involving private equity investments, cross-border transactions, and complex commercial agreements.
  • Evaluate legal risks related to joint ventures, stock acquisitions, asset purchases, and strategic business partnerships.
  • Provide guidance on labor and employment matters, including collective bargaining agreements, union negotiations, labor disputes, workforce restructuring, and executive compensation changes.
  • Support management in handling sensitive labor relations matters while ensuring legal compliance and business continuity.
  • Oversee litigation, regulatory investigations, disputes, arbitration proceedings, and engagement with external legal counsel.
  • Develop and strengthen enterprise-wide legal risk management and compliance frameworks.
  • Assess and mitigate risks related to insurance coverage, business expansion, operational changes, and new business models.
  • Lead crisis management efforts involving legal, regulatory, labor, or reputational issues.
  • Review and approve major contracts, agreements, policies, and legal documentation affecting the organization.
  • Monitor changes in laws, regulations, and industry requirements and provide recommendations to leadership.
  • Build and develop a high-performing legal team through coaching, succession planning, and capability development.
  • Foster strong relationships with regulators, government agencies, legal advisors, investors, and external stakeholders.
  • Represent the organization in high-level negotiations, strategic discussions, and matters involving significant legal or financial exposure.

 QUALIFICATIONS & REQUIREMENTS: 

  • You must have a Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree from a recognized law school.
  • You must be a member in good standing of the Philippine Bar and duly licensed to practice law.
  • You must have at least 15 years of legal practice experience.
  • You must have at least 5 years of senior leadership experience as a General Counsel, Chief Legal Officer, Vice President for Legal, Senior Law Firm Partner, or equivalent executive legal role.
  • You must have a proven track record in leading end-to-end corporate restructuring, spin-offs, mergers, acquisitions, and other complex corporate transactions.
  • You must have extensive experience managing due diligence, transaction negotiations, legal documentation, and post-acquisition integration.
  • You must have deep knowledge of corporate governance, corporate law, antitrust regulations, compliance frameworks, and regulatory requirements.
  • You must have strong expertise in financial, banking, investment, and capital markets law.
  • You must have experience handling project financing, debt restructuring, investment instruments, and cross-border transactions.
  • You must have significant experience in labor relations, collective bargaining negotiations, labor disputes, workforce restructuring, and employment law.
  • You must have strong knowledge of insurance risk management and enterprise risk assessment practices.
  • You must have exceptional negotiation skills with a proven ability to successfully close complex business transactions while protecting corporate interests.
  • You must have excellent communication skills and the ability to translate complex legal concepts into practical business recommendations.
  • You must have strong analytical, strategic thinking, and decision-making capabilities.
  • You must demonstrate high emotional intelligence, executive presence, and composure when managing high-stakes negotiations, litigation, or regulatory matters.
  • You must be highly rigorous, detail-oriented, commercially minded, and capable of balancing legal risk with business objectives.

KEY RESPONSIBILITIES 
You will: 

  • Draft, review, negotiate, and manage legal agreements, including contracts, leases, memoranda of understanding, service agreements, employment contracts, non-disclosure agreements, shareholder agreements, and other legal documents.
  • Provide legal advice and strategic guidance to management on corporate governance, risk management, regulatory compliance, and business operations.
  • Assist in managing claims, disputes, investigations, and litigation matters, including coordination with external legal counsel.
  • Analyze and advise on the legal aspects of complex business transactions, including mergers and acquisitions, joint ventures, financing arrangements, and investment activities.
  • Ensure compliance with applicable laws, regulations, and industry-specific requirements.
  • Advise management on day-to-day legal matters involving commercial transactions, procurement, employment, and operational activities.
  • Develop, review, and maintain standardized legal templates and documentation to improve efficiency and consistency.
  • Conduct legal research on emerging laws, regulations, industry developments, and jurisprudence, and provide recommendations on their potential impact.
  • Manage regulatory filings, registrations, disclosures, permits, and applications with government agencies and regulatory bodies.
  • Support corporate governance activities, including board meetings, shareholder meetings, corporate resolutions, minutes, and certifications.
  • Monitor legal and compliance risks and recommend preventive measures to safeguard company interests.
  • Coordinate with internal stakeholders to ensure legal compliance across business functions.
  • Support compliance audits, investigations, and regulatory reviews as required.
  • Perform other legal and compliance-related responsibilities as assigned by management.

QUALIFICATIONS & REQUIREMENTS: 

  • You must have a Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree from a recognized law school.
  • You must be a member in good standing of the Philippine Bar and duly licensed to practice law.
  • You must have at least 5 years of relevant legal experience, preferably in a corporate or in-house counsel role. Experience in utilities, infrastructure, water, energy, or other highly regulated industries is highly preferred.
  • You must have strong knowledge of corporate law, contract law, labor law, taxation, and regulatory compliance. Experience with SEC filings, corporate governance requirements, compliance audits, and regulatory proceedings is a plus.
  • You must have experience drafting, reviewing, and negotiating complex legal agreements and contracts.
  • You must have strong analytical and problem-solving skills with exceptional attention to detail.
  • You must have excellent written and verbal communication skills with the ability to explain legal concepts to non-legal stakeholders.
  • You must demonstrate high ethical standards, integrity, and confidentiality in handling sensitive legal matters.
  • You must have strong organizational and time management skills with the ability to manage multiple priorities and deadlines.
  • You must be capable of working independently while effectively collaborating with cross-functional teams.
  • You must be adaptable and capable of handling a broad range of legal matters in a dynamic business environment.
