Job Description
The Legal Manager shall perform exclusive functions of providing legal advice and legal opinion to the Executive Chairman. The incumbent conducts legal research and keeps himself/herself updated with all the legal laws to keep the company abreast of all the legal and regulatory requirements of law.
KEY RESPONSIBILITIES
You will:
- Give accurate and timely counsel to executives in a variety of legal topics (labor law, partnerships, international ventures, corporate finance etc.)
- Create, review and modify agreements and contracts between the company and another entity, agency, consultants, service providers or any other organization.
- Create, review and modify employment contract templates.
- Draft, review and amend Legal Department policies, guidelines and procedures and regularly monitors compliance.
- Facilitate the procedure on appeals to administrative case decisions when a written appeal or grievance report has been received by the Legal Department from the aggrieved employee.
- Represent the company, together with Human Resources, in labor (NLRC) cases. Prepares and finalizes position papers, pleadings, appeals, etc. for and on behalf of the company.
- Prepare and handle all documentary and regulatory requirements in mergers, acquisitions and investments of the company.
- Conduct legal audit on adherence to corporate governance.
- Perform corporate secretarial duties and crisis management.
- Keep all legal records, copies of signed contracts/agreements of the company and other documents.
- Provide relevant reports to the Executive Chairman as required
- Act in good faith and in the best interests of the company and conducts work with integrity and responsibility
- Perform other related tasks as may be assigned from time to time.
QUALIFICATIONS:
- Bachelor’s degree in law with strong academic credentials. Bar passer.
- Post-secondary study in Business or an MBA is considered a strong asset.
- Proven experience as a Legal Counsel in a business environment.
- With experience in handling labor cases and litigations.
- High degree of professional ethics and integrity.
- Sound judgement and ability to analyze situations and information.
- Excellent English written and verbal communication skills.
- Highly organized and attention to details.
- Proficient in Microsoft Office applications.
Work Schedule: Regular Shift
